  • Represented major lessor in portfolio sale of 12 aircraft leased to lessees in 5 different jurisdictions to 4 different lessors.
  • Represented major lessor in sale and novation of 3 Airbus aircraft on lease to bankrupt airline to competing airline
  • Represented major lessor in sale of 14 aircraft om 12 jurisdictions as seed for new joint venture.
  • Represented major lessors in sale of off-lease aircraft.
  • Represented several major lessors in sales and purchases of aircraft with attached operating leases to lessees in multiple jurisdictions

Operating and Finance Leases:

  • Represented several major lessors with operating and finance leases for Boeing and Airbus aircraft in over 60 jurisdictions, including deliveries of new aircraft from that lessor’s order books, sale/leasebacks of new aircraft from lessees’ order books and transitions of lessors’ used aircraft between airlines.
  • Represented multiple major lessors in headlease/sublease transactions to lessees in multiple jurisdictions (together with either assignments of subleases and subordination agreements).
  • Represented 2 major lessors in less side novations of operating leases between affiliated airlines.
  • Represented multiple major lessors in restructuring and settlement agreements in connection with operating leases for non-performing lessees in multiple jurisdictions.
  • Represented major lessor in amending operating leases to buy out end of lease redelivery conditions for cash for 3 Boeing aircraft going into cargo conversion.

Financing:

  • Represented major lessor in portfolio financing of 14 aircraft in 12 jurisdictions.
  • Represented major lessor in warehouse financing for 6 aircraft in 3 jurisdictions.
  • Represented major lessor as borrower in JOLCO refinancing of sale/leaseback aircraft on lease in 3 different jurisdictions.
  • Represented multiple major lessors as borrowers for recourse and non-recourse financing of single aircraft.

OEM Related Transactions:

  • Represented major lessor in new purchase agreement for 60 aircraft and amendments to existing purchase agreements with Airbus.
  • Represented major lessor as a launch customer for Lifekey Agreement for fleet of Rolls Royce powered aircraft.
  • Represented major lessor in replacement purchase agreement of aircraft with Boeing and lease back of same aircraft to airline.
  • Represented major international corporation in purchase of Boeing 767 BBJ from The Boeing Company.
